Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and WaveHub ("WaveHub", "we", "us", "our"), governing your access to and use of the WaveHub platform available at www.wavehub.co.il and any associated mobile applications or APIs (collectively, the "Service").

By registering an account, clicking "I agree", or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Material changes will be notified via email or in-app notice. Continued use after changes constitutes acceptance.

To use the Service you must:

• Be at least 13 years of age (or 16 in EU/EEA jurisdictions)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from receiving services under applicable laws
• Provide accurate, current, and complete registration information

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at info@wavehub.co.il if you suspect unauthorized access.
• You may not share your account credentials or allow others to access your account.
• We may suspend or terminate accounts that show signs of compromise or abuse.
• Each registration creates one individual account. Automated account creation is prohibited.

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, WaveHub grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial purposes.

By uploading content to the Service, you grant WaveHub a worldwide, royalty-free, non-exclusive license to store, process, and display that content solely for the purpose of providing the Service to you. We do not claim ownership of your content.

4.4 Beach Camera Footage

Live and archived beach camera footage available on the platform is provided for personal viewing and educational purposes. Unauthorized downloading, redistribution, or commercial use of beach camera footage is strictly prohibited.

The Service incorporates music from third-party providers. Your use of music features is subject to both these Terms and the applicable provider's licensing terms.

6.1 Plans & Pricing

WaveHub offers Free, Forecast, and Pro subscription plans, as well as VOD on-demand credit packs. Pricing is displayed on the Pricing page and may be updated at any time with prior notice.

6.2 Payment Processing (PayPlus)

All payments are processed by PayPlus, an Israeli PCI-DSS Level 1 certified payment service provider. By initiating a payment you agree to PayPlus's terms of service. WaveHub does not store your card number or CVV; only a tokenized reference is retained for recurring billing management.

6.3 Billing Cycle

• Paid subscriptions are billed monthly on the anniversary of your subscription start date
• The first charge occurs immediately upon completing payment (instant first payment)
• Annual plans (if offered) are billed upfront for the full period

6.4 Cancellation

You may cancel your subscription at any time from your account billing settings. Cancellation stops future charges; your subscription remains active until the end of the current billing period. No refunds are issued for unused periods of an active subscription.

6.5 Failed Payments

If a recurring charge fails, your subscription will be marked as payment-failed. You will be notified and given an opportunity to update your payment method. Access to paid features may be suspended until payment is resolved.

All purchases on WaveHub are generally non-refundable, except as required by applicable consumer protection law. We may, at our sole discretion, offer refunds or credits in the following circumstances:

• Documented technical failure preventing access to a paid feature for an extended period
• Duplicate charges resulting from a billing error
• New subscription cancellation within 48 hours of first payment (no content consumed)

To request a refund, contact info@wavehub.co.il within 14 days of the charge. Approved refunds are processed via PayPlus to your original payment method within 5–10 business days.

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose
• Upload content that infringes third-party intellectual property rights
• Upload content that is defamatory, obscene, harassing, or violates privacy rights
• Attempt to gain unauthorized access to other users' accounts or WaveHub systems
• Scrape, spider, or crawl the Service without prior written consent, including beach camera streams or API endpoints
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated bots to interact with the Service at scale
• Circumvent, disable, or interfere with security features of the Service
• Commercially distribute, resell, or sublicense access to beach streams, video content, or Service features
• Use exported clips or edits — including those containing Jamendo music — for commercial purposes without appropriate licenses
• Impersonate WaveHub, our team members, or any other person or entity

The Service, including its design, code, logos, text, graphics, and underlying technology, is the exclusive property of WaveHub and is protected by copyright, trademark, and other intellectual property laws.

WaveHub grants you no rights in the Service beyond the limited license described in Section 4. The WaveHub name, logo, and trademarks may not be used without our prior written consent.

If you believe your intellectual property rights have been infringed, please send a DMCA notice to info@wavehub.co.il.

The Service may contain links to or integrate with third-party services, including Jamendo, Audius, PayPlus, Google, and others. WaveHub is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.

WaveHub does not warrant that: (a) the Service will always be available or free from errors; (b) beach camera footage will be continuous or of any minimum quality; (c) forecast data will be accurate.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WAVEHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO WAVEHUB IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ₪100.

You agree to indemnify, defend, and hold harmless WaveHub and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you upload or export using the Service.

By you: You may delete your account at any time from your account settings. Deletion removes your personal data within 90 days (subject to our retention obligations). Active subscriptions should be cancelled before account deletion to avoid further charges.

By WaveHub: We may suspend or terminate your account, with or without notice, for: (a) violation of these Terms; (b) non-payment; (c) fraudulent or abusive behavior; (d) extended inactivity; or (e) if we discontinue the Service. Upon termination, your license to use the Service ceases immediately.

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel.

You agree to attempt to resolve any dispute informally by contacting us at info@wavehub.co.il before initiating formal proceedings. We will endeavor to resolve disputes within 30 days.

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and WaveHub regarding the Service.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
• No Waiver: Failure by WaveHub to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our written consent. WaveHub may assign its rights in connection with a merger or acquisition.
• Force Majeure: WaveHub is not liable for delays or failures caused by events beyond our reasonable control, including internet outages, natural disasters, or governmental actions.
